License Agreement
This Agreement sets the rules for accessing SmartProxy and explains the responsible-use standards that apply to our network, our business partners, and every customer.

1. Purpose and Scope
An open internet supports research, security, competition, accessibility, and informed decision-making. It also requires care. This License Agreement (the "Agreement") is designed to make lawful access possible while protecting people, systems, and data from misuse.
The Agreement applies to the SmartProxy website, dashboard, proxy network, APIs, scraping products, software, documentation, and related support (together, the "Services"). It binds the person or organization that creates an account, orders a plan, begins a trial, or uses the Services, as well as every authorized user acting through that account.
By using the Services, you accept this Agreement, our Terms of Service, and our Privacy Policy. If you act for an organization, you confirm that you are authorized to accept these documents for it.
2. Principles Behind the Services
We operate the Services around five principles:
- Transparency: clear information about our products, pricing, limitations, and material policy changes;
- Safety: controls intended to protect the network, customers, suppliers, and the wider internet;
- Quality: reliable infrastructure supported by documented operating and support processes;
- Fairness: honest dealings with customers, partners, suppliers, employees, and competitors; and
- Social responsibility: respect for human rights, privacy, lawful commerce, and sustainable business practices.
These principles guide how we evaluate products, suppliers, customer use cases, and reports of misuse. They do not expand any warranty or remedy beyond what this Agreement expressly provides.
3. Responsible Network Sourcing
We seek to obtain network resources through lawful and accountable arrangements. Our sourcing standard is to work with providers that can demonstrate authority to supply their resources and, where an individual's device or connection participates in a network, provide meaningful notice, informed choice, and any promised benefit or compensation.
We may review suppliers, request supporting records, impose technical controls, or discontinue a source that does not meet our legal, security, quality, or ethical requirements. Customers may not obscure the origin of traffic or use the Services to create an unauthorized downstream proxy network.
4. Your License
While your account is active and paid, we give you a personal, limited, revocable, non-exclusive, and non-transferable right to use the Services for your own legitimate activities. This right is limited by the product, traffic, request, concurrency, location, feature, and time allowances shown in your order or dashboard.
You may permit employees and contractors under your control to use the Services for you. You remain responsible for them. You may not sell, rental-share, sublicense, or make your account or network access available to another party unless we approve it in writing.
5. Customer Qualification and Account Integrity
You must be at least 18 years old and legally able to enter into this Agreement. Account, contact, company, use-case, and payment information must be accurate and kept current. We may conduct identity, business, sanctions, fraud, or use-case checks before or during service, particularly for higher-risk products or traffic patterns.
Protect credentials, API keys, allowlists, and sub-accounts using appropriate security measures. You are responsible for activity associated with your account until you notify us of suspected compromise. You must cooperate with reasonable verification and incident-response requests.
6. Responsible Use Duties
Before collecting or accessing data through the Services, you are responsible for:
- identifying a lawful purpose and, where required, a valid legal basis for processing personal data;
- reviewing the target's applicable terms, access rules, intellectual property rights, and technical restrictions;
- limiting collection to information reasonably necessary for the stated purpose;
- using request rates and concurrency levels that do not impair the target or other users;
- maintaining safeguards appropriate to the sensitivity and volume of information involved; and
- keeping records sufficient to demonstrate compliance when the activity presents elevated legal or security risk.
7. Uses We Do Not Permit
The Services must not be used to cause or enable:
- unauthorized access to an account, device, database, application, or network;
- malware delivery, credential theft, phishing, denial-of-service activity, or interference with security controls;
- fraud, deceptive impersonation, unsolicited bulk messaging, artificial engagement, or payment abuse;
- unlawful surveillance, stalking, harassment, discrimination, intimidation, or exploitation;
- collection or disclosure of sensitive or personal information in violation of privacy or data-protection law;
- content or activity that sexually exploits, endangers, or otherwise harms children;
- infringement of copyright, trademark, confidentiality, database, or other third-party rights;
- money laundering, terrorist financing, sanctions evasion, trafficking, or another financial or violent crime; or
- circumvention of usage controls, concealment of a prohibited use case, or resale that we have not approved.
This list describes outcomes, not merely tools. A use is prohibited when its purpose or reasonably expected effect falls within these categories, even if a particular technique is not named.
8. Privacy and Data Stewardship
Each party must handle personal data in accordance with the law and its role in the processing activity. You decide what targets to access and what information to collect, so you are responsible for notices, permissions, retention periods, data-subject rights, and other obligations connected to that decision. Where a separate data processing agreement is required, it must be completed before the relevant processing begins.
We limit our collection to information reasonably needed to provide, secure, support, and improve the Services, as further described in our Privacy Policy.
9. Third-Party Websites and Data
The Services provide connectivity and technical tools; they do not transfer rights in websites, databases, media, personal information, or other third-party material. Availability through the public internet does not by itself make every form of collection or reuse lawful. You must assess and respect the rights and restrictions that apply to each target and use case.
We do not control third-party services and are not responsible for their content, availability, accuracy, security, or changes to their access controls.
10. Network Fairness and Security
Traffic and technical limits protect service quality and help prevent harm. Do not bypass them, manipulate usage measurements, share endpoints in a manner that defeats account controls, or impose a disproportionate load on our infrastructure or a target. We may adjust routing, capacity, locations, or limits to address abuse, security, legal, supplier, or performance concerns.
11. Oversight, Reporting, and Enforcement
We may review account information, use-case descriptions, support communications, and technical signals reasonably necessary to prevent fraud, investigate abuse, maintain the Services, and comply with law. Reviews may be automated or performed by trained personnel. We do not authorize inspection beyond what is permitted by our policies and applicable law.
Concerns about unsafe sourcing, unlawful use, security, privacy, or business conduct may be reported to support@smartproxy.org. We assess credible reports and may request evidence, preserve relevant records, restrict traffic, suspend an account, terminate service, notify affected parties, or cooperate with competent authorities.
12. Business Integrity
Neither party may use the relationship created by this Agreement to offer or accept bribes, conceal conflicts of interest, evade taxes or sanctions, launder funds, misrepresent material facts, or obtain an unfair advantage through corruption or deception. You must comply with applicable export-control, import, and economic-sanctions rules and must not provide the Services to a prohibited person or destination.
13. Fees, Renewals, and Refunds
Prices, billing frequency, included usage, and renewal settings are presented before purchase and in the dashboard. You authorize charges to the payment method on file for fees and applicable taxes. Unless the order says otherwise, subscriptions renew using the selected billing cycle until cancelled.
Refund requests are handled under our Refund Policy. Activity involving fraud, abuse, unauthorized resale, or a material breach of this Agreement is not eligible for a refund.
14. Service Operation and Changes
We may maintain, update, replace, or discontinue features and network resources. Planned maintenance will be communicated when reasonably practical. Emergency, supplier, target-site, legal, or security changes may occur without advance notice. You are responsible for compatible equipment, software, integrations, and reasonable business-continuity measures.
15. Ownership and Customer Materials
SmartProxy and its licensors own the Services, including their software, interfaces, documentation, branding, and improvements. Your license does not permit copying, public distribution, removal of notices, reverse engineering, or creation of derivative products except where a restriction is prohibited by law.
You retain rights in materials you submit. You give us permission to process them only as needed to provide, secure, and support the Services or as otherwise agreed. Feedback may be used without restriction or payment, provided we do not identify you publicly without permission.
16. Warranties and Allocation of Risk
TO THE EXTENT ALLOWED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." WE DO NOT PROMISE THAT EVERY LOCATION, ENDPOINT, TARGET, FEATURE, OR RESULT WILL REMAIN AVAILABLE, OR THAT OPERATION WILL ALWAYS BE UNINTERRUPTED, SECURE, OR ERROR-FREE. IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT ARE DISCLAIMED WHERE THEY MAY LAWFULLY BE DISCLAIMED.
TO THE EXTENT ALLOWED BY LAW, NEITHER PARTY IS LIABLE FOR INDIRECT, SPECIAL, INCIDENTAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL LOSS, OR FOR LOST PROFIT, REVENUE, BUSINESS, GOODWILL, OR DATA. SmartProxy'S TOTAL LIABILITY CONNECTED WITH THE SERVICES WILL NOT EXCEED THE FEES YOU PAID FOR THE AFFECTED SERVICES DURING THE THREE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
You will defend and indemnify SmartProxy against third-party claims and reasonable costs arising from your data, targets, use case, breach of this Agreement, or violation of another person's rights. These limits do not apply where applicable law does not permit them.
17. Suspension and End of Service
You may stop using the Services or cancel future renewal at any time through available account controls. We may restrict or suspend access while investigating a credible legal, security, payment, sourcing, or misuse concern. We may terminate access for a material or repeated breach, an unresolved risk, non-payment, or where continuing service would violate law or harm others.
When service ends, the license ends and you must stop using credentials, endpoints, software, and documentation made available under it. Payment, ownership, confidentiality, enforcement, indemnity, warranty, liability, and dispute terms survive where their purpose requires it.
18. Updates, Disputes, and Contact
We may revise this Agreement when our Services, risks, or legal obligations change. Material changes will be announced through the website, dashboard, or account email before they take effect when reasonably practical. Continued use after the effective date means that you accept the revised Agreement.
Before beginning formal proceedings, each party will give the other a reasonable opportunity to resolve the issue in good faith. If one provision cannot be enforced, it will be limited only as necessary and the rest of the Agreement will continue. You may not transfer this Agreement without our written consent.
